RSPP Prepares Proposals on Conditions for Foreign Companies to Resume Operations in the Russian Market

In accordance with the results of the discussion at the Congress of the Russian Union of Industrialists and Entrepreneurs (RSPP), held on March 18, 2025, RSPP established a Temporary Working Group to develop proposals on the conditions for foreign companies to resume operations in the Russian market. The group includes both Russian companies and foreign business associations, as well as other members of the International Council on Cooperation and Investment.

The Working Group is developing proposals outlining the conditions under which foreign companies may return to the Russian market (as suppliers of goods, services, and/or asset owners in Russia).

Particular attention is given to the procedures and decision-making mechanisms regarding the potential return of foreign companies that previously sold their Russian assets, while taking into account the interests of domestic businesses pursuing import substitution and technological leadership. The group is also exploring possible mechanisms and platforms for resolving disputes that may arise when a foreign company resumes operations in Russia. Additionally, proposals are being developed on strategic approaches to parallel imports, including application procedures for removing products from restricted lists when a foreign manufacturer re-enters the Russian market, as well as measures to safeguard intellectual property rights.

Earlier President Vladimir Putin instructed the government to prepare legislative amendments by May 15. These amendments aim to establish the procedure for coordinating transactions as a result of which entities from unfriendly foreign states acquire real estate in Russia for business purpose, obtain direct or indirect control over shares/equity stakes, and other similar rights, as well as the specifics of the exercise by foreign investors of the right to repurchase shares/stakes in companies alienated by them after February 22, 2022, on non-market terms, ensuring the protection of the rights and legitimate interests of Russian citizens and legal entities that own these shares/stakes.
